वीओआई के मालिकाना हक को अमित सिन्हा का ट्रांसफर किए जाने को लेकर मित्तल ब्रदर्स के साथ जो समझौता हुआ था, उसमें तय हुआ था कि वीओआई की जितनी भी लायबिलिटी है, उसे मित्तल चुकाएंगे और अमित सिन्हा जो पैसे देंगे, उसी अनुपात में उन्हें वीओआई के शेयर ट्रांसफर किए जाएंगे. पर ऐसा अब तक नहीं हुआ. यह कहना है अमित सिन्हा का. भड़ास4मीडिया को उन्होंने इस बाबत लिखे पत्र की एक कापी दी है, जिसे यहां प्रकाशित किया जा रहा है. -एडिटर

(i) Requesting you to declare the detailed list of liabilities of “Triveni Media Limited” as has been declared by you to the tune of Rs.39.18 Crores

(ii) Requesting you to pay-off/clear the liabilities of “Triveni Media Limited” as has been declared by you to the tune of Rs.39.18 Crores

(ii) Requesting you to issue share certificates of Triveni Media Limited for the amount which M/s Search Light Movies has already paid

Sir/Madam,

We had entered into a Share Purchase Agreement (hereinafter referred to as “Agreement”) with you dated 25.10.2009 executed at New Delhi for the purchase of 99.31% shares of Triveni Media Limited (hereinafter referred to as “TML”).

Due to certain misunderstanding between us and Sumit Mittal Group, Mr. Sumit Mittal and Mr. Madhur Mittal of the group filed a petition under Section 9 of the Arbitration and Conciliation Act, 1996 before the Hon’ble High Court of Delhi at New Delhi bearing OMP No. 334 of 2010 which has already been settled vide the Supplementary Agreement dated 03.06.2010 wherein the total sale consideration amount has been reduced to Rs. 63.52 Crores from Rs. 68.52 Crores.

That you in the petition bearing OMP No. 334 of 2010 filed before the Hon’ble High Court has accepted that Triveni Media Limited has a total liability of Rs.39,18,00,000/- (which has to be paid/cleared by the Sumit Mittal Group) but have failed to give the detailed break-up of the same. Several third parties have approached us for payments for the dues for the period prior to the signing of the Agreement dated 25.10.2009. The detailed break-up of the same would have revealed these undisclosed material details about the liabilities and we would had been in a position to verify the claims which had been made by several third parties. So, in these circumstances I request you to kindly declare a detailed break-up of the list of liabilities of Triveni Media Limited.

We further request you to clear the liabilities of TML as early as possible since the huge liabilities at your end had landed us in unnecessary Civil as well as Criminal proceedings for the commissions and omissions of the Sumit Mittal Group.

SLM is a reputed proprietorship concern which enjoys a resounding reputation in the market but because of the act of yours of non-payment of the huge liabilities of TML prior to the signing of the Share Purchase Agreement dated 25.10.2009 we have been continuously facing huge financial loss as well as loss to the reputation of SLM since people whose money had been withhold by you are not making us run the channel TML Voice of India in proper manner.

We are continuously facing the burnt of undue harassment because of the dues of your’s running to the tune of Rs.39,18,00,000/- (Rupees Thirty Nine Crores and Eighteen Lacs Only).

As per the terms of the Agreement it was made very clear to us that SLM would be issued Shares of TML in trenches for the amount which SLM had paid but despite our repeated request through various letters, mails and series of telephonic conversations, till date not a single share has been issued to SLM inspite of the fact that SLM had made a considerable amount of payment. For your reference Clause 2 (I) of the said agreement dated 25.10.2009 is replicated herein:

“Blank share transfer deeds in favour of SLM for transfer of TML shares as per the present agreement shall remain in custody of the Escrow Agent and he shall handover the share certificate and transfer deed to SLM in trenches on receipt of written confirmation signed by SLM and Summit Mittal Group to SLM at such intervals depending upon the receipt of the sale consideration for the said shares to be specifically agreed to between the parties after completion of due diligence. However it is agreed that shareholding beyond and over and above 49% of the paid up capital of TML shall not be transferred in favour of SLM till the final payment is received by Summit Mittal Group and confirmation thereof is delivered to the Escrow Agent”.

Further I would request you to issue share certificates of Triveni Media Limited for the amount which M/s Search Light Movies has already paid in view of the Clause 2 (I) of the said agreement dated 25.10.2009.
