-यह सेबी के अधिग्रहण विनियमों के मुताबिक एनडीटीवी में 26% तक हिस्सेदारी हासिल करने के लिए एक खुली पेशकश करेगा
-एनडीटीवी के पास तीन प्रमुख नेशनल चैनल और एक मजबूत डिजिटल प्लेटफॉर्म है
-एएमएनएल अदाणी एंटरप्राइजेज लिमिटेड (एईएल) की 100% सहायक कंपनी है
अहमदाबाद; 23 अगस्त, 2022: एएमएनएल की पूर्ण स्वामित्व वाली सहायक कंपनी, वीसीपीएल के पास, आरआरपीआर होल्डिंग प्राइवेट लिमिटेड (आरआरपीआर) का वारंट उपलब्ध है, जो उन्हें आरआरपीआर में 99.99% हिस्सेदारी बदलने का अधिकार देती है। वीसीपीएल ने आरआरपीआर में 99.5% हिस्सेदारी हासिल करने के लिए वारंट का प्रयोग किया है। इस अधिग्रहण के परिणामस्वरूप, वीसीपीएल आरआरपीआर का नियंत्रण हासिल कर लेगा।
आरआरपीआर एनडीटीवी (एनडीटीवी, बीएसई: 532529) की एक प्रमोटर ग्रुप कंपनी है और एनडीटीवी में 29.18% हिस्सेदारी रखती है। वीसीपीएल, एएमएनएल और एईएल (कॉन्सर्ट एक्टिंग पर्सन्स) के साथ, सेबी (शेयरों और टेकओवर का पर्याप्त अधिग्रहण) के विनियम, 2011 की आवश्यकताओं के अनुपालन के अनुरूप, एनडीटीवी में 26% हिस्सेदारी हासिल करने के लिए एक खुली पेशकश शुरू करेगा।

Ahmedabad; Aug 23, 2022: AMNL’s wholly owned subsidiary VCPL holds warrants of RRPR Holding Private Limited (RRPR) entitling it to convert them into 99.99% stake in RRPR. VCPL has exercised warrants to acquire 99.5% stake in RRPR. Such acquisition will result in VCPL acquiring control of RRPR.
RRPR is a promoter group company of NDTV (NDTV, BSE: 532529) and holds 29.18% stake in NDTV. VCPL, along with AMNL & AEL (persons acting in concert), will launch an open offer to acquire up to 26% stake in NDTV, in compliance with the requirements of the SEBI’s (Substantial Acquisition of Shares and Takeovers) Regulations, 2011.
NDTV is a leading media house which has pioneered the delivery of credible news for over three decades. The company operates three national news channels – NDTV 24×7, NDTV India and NDTV Profit. It also has strong online presence and remains one of the most followed news handles on social media with more than 35 million followers across various platforms.
NDTV recorded a Revenue of INR 421 Cr with an EBITDA of INR 123 Cr and Net Profit of INR 85 Cr in FY22 with negligible debt.
